ABFRL buys out Imperial Online Services to grow its fashion arm
Aditya Birla Fashion and Retail Limited (ABFRL) has acquired the remaining 15.62% stake in Imperial Online Services Private Limited, taking its ownership in the fashion and apparel company to 100%.

The acquisition was completed through ABFRL’s wholly owned subsidiary, Aditya Birla Digital Fashion Ventures Limited (ABDFVL), which purchased the additional stake. Imperial is now a wholly owned subsidiary of ABDFVL and a step-down wholly owned subsidiary of ABFRL.

The transaction was completed under the Share Subscription and Shareholders’ Agreement signed on July 11, 2022, which provided for a phased increase in ABDFVL’s ownership in Imperial.

Founded in 2012, Imperial Online Services operates in the fashion, apparel and accessories segment and owns the Urbano brand. The company manufactures, markets and distributes fashion apparel through online and offline retail channels.

Imperial reported a turnover of Rs 119.38 crore for the financial year ended March 31, up from Rs 77.93 crore in FY2025 and Rs 66.78 crore in FY2024.

The transaction was completed for cash consideration under the previously agreed terms. No regulatory approvals were required. Following the acquisition, ABDFVL’s stake in Imperial increased from 84.38 percent to 100%.

The acquisition brings the Urbano business fully under ABFRL’s subsidiary structure as the company continues to expand its portfolio across India’s fashion and apparel market.
