The Dealer agrees on below Offers, Terms and Conditions:

  1. The Dealer has to market, install, commission and to offer all related services after sale of Company’s products and to undertake repair jobs for sold units in the Dealer’s region irrespective of how old they are and who sold them.
  2. DEPOSIT: Rs. 25000/- (refundable) deposit will be required to be paid to the Company by the Dealer.
  3. The Dealer should keep in stock adequate quantity of the product as may be required in consultation with Company Head Quarter to ensure immediate supply to the customer.
  4. The Dealer should deliver prompt & impeccable service to the customer. The Dealer should have the onus of installation, commissioning & servicing of the compressors, as and when required. If in case Dealer wants to get service from Company for the unit sold by them, they need to pay for the actual expenses of servicing plus Rs.1500/- for rotary screw compressors per day basis to company and conveyance, accommodation charges at actual.
  5. The Company is offering dealer discount on the price list for Rotary screw compressor, Piston compressor and Vacuum pump and Its Spare Parts as per price list given from time to time. In case of direct billing from the company to the end user, agency commission will be given as above discount (Remaining amount from maximum discount given to end user).
  6. The Company also reserves the right to appoint another Dealer /Marketing Agency/Agent in the same region of concerned Dealer/ Agent.
  7. The payment should be advance before dispatch for first six months & there after one month credit, looking to the credential of dealer.
  8. The minimum business target to be achieved during financial year (2020-21) is Rs. 20 Lakhs for given territory.
  9. For promotional activities the Company will share 50% of the stall rent of exhibition for company’s products exhibiting only for “Oskar” Products against documentary proof if others products then 25% will share. However the Dealer should have done business in the past worth of Rs. 25 Lacs of the Company Products. The expenses for Sales/Promotional material like Visiting cards, Dairy, Diwali gifts etc. will be in scope of Dealer.
  10. If Dealer wants to give an advertisement in proposed media initially to generate the market awareness, the Company agrees to share the expenses on equal basis -50% only for I.A. Products or else 25%, after obtaining prior approval for the Advertisement Matter/Art Work & Size of advertisement. The Company’s share amount will be given against the submission of the authentic document & proof of the advertisement. The advertisement should contain Company’s Head Office Contact details in it.
  11. The Dealer cannot give offer to the parties out of given region. In case Dealer wants do so, need to take prior approval from company case to case. The Dealer has to provide services to that specific customer or to part 5% commission on net price of order (excluding taxes & duties) to the concerned Dealer of that region. This agreement is mandatory and Company should be kept informed by both the concerned Dealer/Dealer.
  12. The expected Business of spares for machines which are out of warranty period, should be at least For Screw Compressor minimum Rs. 25,000/- per year in the region.
  13. The Dealer has to submit commissioning report of each compressor within a month of delivery date or if any delay in submission of the report, the Dealer has to inform the Company in writing with reason before the due date. Failing of submitting same, standard company warranty will not be applicable for the unit.
  14. The Dealer can claim the parts or material in FOC during warranty period, by providing proper commissioning report with required detailed service report and required Images. Company will provide parts or material in FOC after receiving said documents in time and as per warranty terms only.
  15. The Dealer has to keep minimum 2 Sets of tune up kit in stock for each product’s unit existing in the region.
  16. The Dealer has to provide business forecast for coming three months, with model of the products and customer details.
  17. The Dealer has to submit documents related to the equipment’s / parts sold within six month after dispatch.
  18. Dealer can claim due payment for commission, service/spares and approved promotional activities to company of concern financial year till three months after completion of that year and needs to provide all required documents/evidence for same. Company is not responsible to clear any such claim for payment done after mentioned time. The commission amount will give after deducting TDS.
  19. Our price list is valid up to 31st march of every year. Please note that “Oskar” has right to change the price list any time of the year due to abnormal change of commodity prices in the market or reasons best known to “Oskar”. In such cases the ongoing quotes with 30 days validity from dealer’s end to end customer will be honored. All quotes from dealers to end customer has to be with validity clauses of 30 days.
  20. The Dealer agreement has to be on a company name and not individual.
  21. Notwithstanding the above, you will be a dealer on probation for 6 months. On satisfactory performance, you will be confirmed as a dealer

Commitment of ‘the Dealer’

  • The Dealer will not contact any other manufacturer for the products & range of Compressors and their Spares for which Dealership has been offered by the company to the Dealer. If done it will be considered as breach of this agreement.
  • The Dealer will not deal in the like products (Compressors and their Spares) of any other make.
  • The Dealer will not disclose to any third party the prices or technical or other information of a confidential nature received or obtained from the company.
  • The Dealer will not make any representation or give warranties other than those contained in the Company’s General Conditions of sale and to abide by other terms mentioned therein.

  • Equipment Installation Details & Installation format duly filled.
  • Customer calls Record having Courtesy calls (2-3 calls during warranty) and Service calls.
  • Service Report: One copy of service report with Sr. No. to be sent from given Triplicate format.
