Our franchise stores operate under the name “HUNGRU PIZZA,” adhering to a standardized business format designed by HUNGRU PIZZA directors. As part of this franchise agreement, you have applied and been approved to operate a HUNGRU PIZZA outlet at a location specified in this Agreement.

Franchise Grant and Term

Subject to the terms outlined in this Agreement, HUNGRU PIZZA grants you the franchise to run a HUNGRU PIZZA outlet at the designated location. This Agreement is valid for one year, starting from the store's opening date. In the case of a renewal or transfer, the term will commence the day following the expiration or termination of the previous franchise agreement.

Renewal of Franchise

After three years, the franchise may be renewed by the HUNGRU PIZZA Board of Directors based on the store's performance, including sales figures, customer feedback, ratings, conduct, and adherence to quality standards. The renewal fee will be Rs 2.5 lakhs for the next three years, subject to adjustments based on market conditions.

Royalty Fees and Other Charges

You are required to pay a royalty fee of 5% of the store's monthly sales. This fee must be paid by the last day of each month, with payments made via electronic funds transfer. Royalty sales are defined as total receipts from all sales of authorized products at the store, excluding taxes, discounts, and certain deposits. Interest at 1% per week or the highest legal rate will be charged on late payments.

Store Location and Use

The store must be operated at the specified location, and relocation requires prior written consent from us. The premises must be used solely for running a HUNGRU PIZZA outlet and not for any illegal or immoral activities that could damage the brand’s reputation.

Store Development

Upon securing the store location, you must submit a site plan and any modifications to our architectural specifications for approval. This includes obtaining necessary permits and ensuring compliance with all relevant codes. You are responsible for completing construction, installation, and decorating in line with our approved plans and obtaining necessary contractor certifications. Equipment, fixtures, and signs must meet our specifications, which may include using approved vendors.

Store Opening

The store must be ready to open within six months of acquiring the site. Failure to open within this period gives us the right to terminate the Agreement.

Opening Advertising and Promotion

If opening your first HUNGRU PIZZA outlet, you must provide proof of digital marketing and offline promotions within 30 days of opening.

Training

We will provide training for your employees at no additional charge until they are fully trained.

Operating Assistance

We will offer operational advice and guidance on methods, packaging, and administrative procedures. However, we do not operate the store or manage your employees, and our assistance does not extend to managing your accounting or marketing services.

Store Product

You must sell all authorized pizza and other food and beverage products at the store, with the option to offer resale products for approved programs. We will supply essential ingredients for quality control, and any external purchases of these items could result in contract termination or fines. Other ingredients may be sourced from local suppliers.

Advertising and Promotion

You are responsible for advertising and promotion, which must be reported to us before and after implementation.

Records and Reports

You must maintain daily records of sales, discounts, and purchases and have them available for audit. We reserve the right to audit these records at any time, with costs incurred due to non-compliance being chargeable to you.

Operating Requirements

You must comply with all operating procedures related to store cleanliness, staff appearance, product quality, customer service, and advertising. This includes adherence to safety and health regulations, maintaining high standards for product preparation and service, and following procedures for online ordering and customer complaints.

Compliance with Laws

You must secure and maintain all necessary licenses and permits and operate in compliance with all applicable laws. This includes timely payment of taxes and adherence to Payment Card Industry Data Security Standards. Any breaches must be reported immediately, and you are responsible for all related duties.

New Concepts

Any new concepts or improvements developed in connection with the store must be reported to us. These innovations become our property, and we may utilize or disclose this information to our affiliates and other franchisees.

Inspections

We or our designees have the right to inspect the store and its records without prior notice. Inspections may include a review of financial statements, computer records, and physical inventory. We will bear the cost of routine inspections but will charge you for additional inspections resulting from non-compliance.

Termination

We may terminate this Agreement if you or your owners make material misrepresentations, fail to open the store within six months, become bankrupt, abandon the store, fail to maintain the lease, or engage in conduct that damages the brand. Other grounds for termination include failure to report or pay royalties accurately, violations of child labor laws, and failure to comply with operational procedures or legal requirements.

Effective Date

This Agreement becomes effective upon its acceptance and execution by us.
