Virtual restaurant operator Dil Foods has entered into a brand licensing and operator agreement with FreshMenu, one of India's earliest cloud kitchen startups, as both companies continue discussions around a potential acquisition. The development comes after reports suggested Dil Foods was exploring a distress purchase of the foodtech company following FreshMenu's suspension of operations earlier this year amid financial challenges.
Clarifying the reports, Dil Foods founder Arpita Aditi said the companies have, for now, signed a licensing arrangement that enables Dil Foods to restart operations at select FreshMenu cloud kitchens under the FreshMenu brand. She added that while broader strategic discussions are underway, a full acquisition has not been finalised and the details remain confidential.
Founded in 2014 by Rashmi Daga, FreshMenu was among the pioneers of India's cloud kitchen ecosystem. The company built a network of delivery-only kitchens across Bengaluru, Mumbai, Delhi-NCR and Kolkata, offering freshly prepared meals through leading food delivery platforms.
Despite recovering from the disruptions caused by the COVID-19 pandemic, FreshMenu reportedly encountered severe financial headwinds this year. The company suspended operations nationwide in April following a cash crunch and is reported to have delayed payments to vendors and employees, prompting discussions with Dil Foods.
Under the current arrangement, Dil Foods will leverage its operating platform, supply chain, technology infrastructure and restaurant partner network to revive select FreshMenu kitchens. The company also clarified that FreshMenu's existing financial liabilities remain governed by prior legal agreements and are not transferred under the licensing partnership.
Should the acquisition eventually materialise, it would bring together one of India's pioneering cloud kitchen brands with one of its fastest-growing virtual restaurant operators, potentially signalling further consolidation in the country's foodtech sector.
At its peak, FreshMenu served more than 500,000 monthly users and raised approximately US$22 million from investors including Lightspeed Venture Partners, Zodius Capital and InnoVen Capital. However, mounting competition, evolving consumer preferences and financial pressures have eroded its market position in recent years.
