Inspira Global Restaurant Brands Asia has entered into definitive agreements to acquire a controlling stake in Restaurant Brands Asia (RBA), the master franchisee of Burger King in India and Burger King and Popeyes in Indonesia. The transaction will result in the exit of existing promoter QSR Asia, which is majority owned by Everstone Capital, marking the completion of its investment cycle.
The acquisition will be carried out, among other steps, through Lenexis Foodworks, Inspira Global’s food and beverage arm. Lenexis has more than a decade of experience in the quick service restaurant (QSR) segment and currently operates over 250 Chinese Wok outlets across more than 45 Indian cities.
As part of the deal, Inspira Global will acquire QSR Asia’s entire 11.26% stake in RBA for around ₹460 crore. In addition, the company plans to infuse approximately ₹900 crore through a preferential allotment of equity shares and about ₹600 crore via the issuance of preferential warrants. The transaction will trigger an open offer to RBA’s public shareholders in line with regulatory requirements.
The proposed acquisition is subject to customary conditions, including shareholder and regulatory approvals, such as clearance from the Competition Commission of India, and will be executed in accordance with SEBI takeover regulations.
Commenting on the development, Rajeev Varman, whole-time director and group chief executive officer of Restaurant Brands Asia, said the company looks forward to welcoming Inspira Global as its new promoter. He added that the incoming investor’s long-term capital commitment and strategic alignment would support RBA’s growth ambitions. Varman noted that RBA will continue to operate with its existing leadership, organisational structure and brand identity.
Aayush Madhusudan Agrawal of Inspira Global said the firm views the acquisition as a long-term value creation opportunity, focused on sustainable growth and unlocking the potential of the QSR market. He added that the investment strengthens Inspira Global’s presence in consumer-facing businesses and aligns with its emphasis on operational excellence and disciplined capital deployment.
Rafael Odorizzi, president for Asia-Pacific at Restaurant Brands International, which owns the Burger King and Popeyes brands, said the company welcomed Inspira Global’s significant investment and looked forward to working with it as a long-term partner to build on RBA’s existing operational foundation.
Reflecting on Everstone’s exit, Sameer Sain, co-founder and group CEO of Everstone Group, said the firm had introduced Burger King to India 12 years ago with the goal of building a marquee QSR brand. With more than 575 outlets now in operation, he said the business is well positioned for its next phase of growth under the new promoter.
The transaction was advised by Bathiya Advisors, while Motilal Oswal Investment Advisors is acting as manager to the open offer.
